What is a redline in a contract?

Quick answer

A redline is a copy of a contract with proposed changes marked up, so the other side can see exactly what was deleted, added or reworded. The name comes from the red ink once used for edits; today it is usually tracked changes in Word or a compare view.

Why it matters for a small business

Redlines are how contracts get negotiated. Instead of arguing over a summary, each side marks the wording it wants and sends it back, and the contract goes round until both accept a version. A clean redline makes review fast; a messy one, with silent changes nobody flagged, is how surprises end up in signed contracts.

Before anyone redlines, someone has to decide what to change. That is usually an issues list: each clause that is a problem, why, and the change you want. In many firms a paralegal or contract coordinator prepares that list and the attorney decides which redlines to make.

In a real lesson: AI Contract Review in 10 Minutes using Foxit AI

In the free Foxit contract review lesson, Foxit Workspace reads a four-page services agreement and lists every renewal and termination term with its section number. Each answer has a citation icon that opens the contract at the exact sentence.

Foxit Workspace has no redline or track-changes tool, so the lesson ends with a one-page Contract Watch List instead. That list is the raw material for redlines: the person with authority, often an attorney, decides which clauses to mark up in the draft sent back.

How AI helps

AI is good at the first pass: finding the clauses that differ from your usual position and suggesting wording. It is not the decision maker. Keep the AI's suggestions as proposals on an issues list for the attorney, and check each against the clause it cites.

Common confusions

Redline vs comment

A redline changes the wording. A comment asks a question or explains a change without changing the text.

Redline vs issues list

An issues list describes what to change and why. The redline is the marked-up contract that makes those changes.

Tips

  • Compare the version you receive back against the version you sent, not just the visible changes.
  • Keep one owner for each round so edits do not cross.
  • Explain the reason for a significant change in a short comment.

To mark up a copy with your proposed changes, deletions and additions so the other side can see them and accept, reject or counter each one.
Can AI redline a contract?
AI can suggest redlines and draft an issues list. A person with authority, usually an attorney, should decide which changes to propose.
Does Foxit Workspace make tracked changes?
Not in the Workspace preview we tested, which is a reading view. The Foxit lessons have the AI build a document you download instead, such as an issues list.
