What is an early termination fee in a contract?
Quick answer
An early termination fee is the amount a contract says you must pay if you end it before the term is over. It is often a share of the fees for the remaining months, sometimes all of them, and it usually comes with a notice period as well.

Why it matters for a small business
The fee is how a vendor protects the revenue it planned on, and it is often the single most expensive sentence in a service contract. "50% of the remaining fees" sounds modest until you multiply it by eleven months. Reading it with the renewal clause matters too: an auto-renewal you missed can restart the clock, and the fee with it.
It is also negotiable more often than people think. Common asks are a fee that steps down over time, a cap at a fixed number of months, or no fee if the vendor misses its service levels.
What the Harborview exit fee costs
| Leave with this many months left | Fee (50% of $3,850 per remaining month) |
|---|---|
| 2 months | $3,850 |
| 6 months | $11,550 |
| 10 months | $19,250 |
Made-up figures from the sample agreement in the Foxit lesson. The exit also needs 60 days' notice.
In a real lesson: AI Contract Review in 10 Minutes using Foxit AI
In the free Foxit contract review lesson, the sample agreement lets Harborview leave early with 60 days' notice and a fee of 50% of the monthly fee for each remaining month, which is $1,925 a month. Foxit Workspace put it in the renewal and termination table with its section number, and the citation opened the exact sentence.
The Claude version of the same job, Check a Contract for Red Flags with Claude, uses a harsher contract: a fee equal to every remaining month, about $34,800 if Harbor Lane Accounting leaves after year one.

Common confusions
Early termination fee vs late fee
A late fee is charged for paying an invoice late. A termination fee is charged for ending the contract early.
Termination for convenience vs termination for cause
Leaving because you want to is usually when the fee applies. Leaving because the other side breached the contract often has different rules, so read both.
Tips
- Multiply the fee out for leaving at month three and month nine, and write the numbers down.
- Check whether the fee also applies after an automatic renewal.
- Ask for a step-down or a cap before you sign, not after.

Frequently asked questions
- Is an early termination fee the same as a penalty?
- Contracts usually describe it as an agreed payment, not a penalty, and whether a particular fee is enforceable depends on the law that applies. Ask a lawyer about your contract.
- How do I find the termination fee in a long PDF?
- Search for "terminat" and "fee", or ask an AI tool for every termination term with the section number, then click through to check the exact wording.
- Can I avoid an early termination fee?
- Sometimes, by ending at the end of the term with proper non-renewal notice, by negotiating, or under a termination-for-cause clause if the other side fell short.
