Use this when a vendor or client sends back "a few small edits" to an agreement and you need to know exactly what moved before it goes to your attorney or your boss. The prompt walks both versions clause by clause and lists what changed, what is new and what disappeared, quoting old and new wording side by side. It describes the change. It does not say whether the change is good, risky or enforceable.

AI can miss a changed number or a deleted sentence, so treat this as a second pair of eyes next to a real compare. If both versions are Word files, run Word's Compare feature too and check that every change it shows also appears in the AI's list.

**Have a professional review it.** This prompt helps you draft, not decide. AI can get the law wrong and doesn’t know your jurisdiction or your facts, so have a licensed attorney review anything legal before you send or sign it.

## The prompt

Copy it into ChatGPT (or Claude, Gemini or Copilot) and replace every `[BLANK]` with your own details. It uses the four parts from [Prompt Writing 101](https://learn.ynteractive.com/content/prompt-writing-101-role-context-task-format): Role, Context, Task and Format.

Copy prompt

```text
Role: You are a contracts coordinator at [COMPANY] comparing two versions of an agreement for [REVIEWER].
Context: The agreement is [AGREEMENT] with [OTHER PARTY]. Version A is the one we sent on [DATE A]. Version B is the one they returned on [DATE B]. Both full texts are pasted below, labeled Version A and Version B.
Task: Go through both versions in order and list every difference. For each one, give the clause number, say whether it was changed, added or removed, quote the Version A wording and the Version B wording, and describe the change in one plain sentence. Include changes to numbers, dates, defined terms, notice periods and punctuation that changes meaning. Then list any clause numbers that shifted because of added or removed clauses. Do not say whether a change is acceptable, risky, standard or enforceable, and do not suggest edits.
Format: A table with columns Clause, Type of change, Version A, Version B, Plain description. After the table, one line: "Total differences found:" and the count. No emoji.
```

## Fill in the blanks

**`[COMPANY]`**

Your company's name.

**`[REVIEWER]`**

Who reads the comparison next: your attorney, manager or owner.

**`[AGREEMENT]`**

The agreement's title, such as "Supply Agreement".

**`[OTHER PARTY]`**

The vendor or client on the other side.

**`[DATE A]`**

When your version was sent.

**`[DATE B]`**

When their version came back.

## Example, filled in

**A made-up example** from the free lesson [Build an AI Vendor Follow-Up Agent in n8n](https://learn.ynteractive.com/content/ai-vendor-follow-up-agent-n8n). Ridgeline Supply Co. is the made-up warehouse and distribution business from the operations lessons, the one chasing late pallet orders. In this made-up scenario, its operations manager sent Tallpine Pallet Co. a supply agreement, and Tallpine returned a version with edits. The agreement is invented.

Copy example

```text
Role: You are a contracts coordinator at Ridgeline Supply Co. comparing two versions of an agreement for the company's outside attorney.
Context: The agreement is the Pallet Supply Agreement with Tallpine Pallet Co. Version A is the one we sent on September 15. Version B is the one they returned on October 1. Both full texts are pasted below, labeled Version A and Version B.
Task: Go through both versions in order and list every difference. For each one, give the clause number, say whether it was changed, added or removed, quote the Version A wording and the Version B wording, and describe the change in one plain sentence. Include changes to numbers, dates, defined terms, notice periods and punctuation that changes meaning. Then list any clause numbers that shifted because of added or removed clauses. Do not say whether a change is acceptable, risky, standard or enforceable, and do not suggest edits.
Format: A table with columns Clause, Type of change, Version A, Version B, Plain description. After the table, one line: "Total differences found:" and the count. No emoji.
```

## What a good answer looks like

- Every change has both wordings quoted, so the attorney never has to hunt for the original.
- Small but important edits are caught, such as a delivery window changing from 5 to 10 business days or "shall" becoming "will use reasonable efforts to".
- Removed clauses are listed, not just changed ones. Deletions are the easiest thing to miss.
- The plain descriptions stay neutral: "Late delivery credit removed", not "Tallpine weakened your protection".

## How to check it before you use it

An AI draft can sound right and still say something you never told it. Use the habit from the [Reply Faster lesson](https://learn.ynteractive.com/content/chatgpt-reply-to-customer-emails): check every promise, name, date and number against what you gave it before anything goes out.

- Run a real compare in Word or your contract tool and match its changes against this list one by one.
- Check every number and date in the table against both originals.
- If the count looks low for the size of the edits, ask again clause by clause for the sections that came back with no changes.
- Send both versions and the table to your attorney before anyone signs.
