Quick answer

A pro forma invoice is a preliminary bill a seller sends before goods ship or work is done. It looks like an invoice, listing items, quantities, prices and terms, but it is a preview of the charges rather than a request for payment on a completed sale. The real invoice follows once the order is fulfilled.

## Why it matters for a small business

Buyers often need a document in hand before they can say yes. A finance team may need it to approve the spend, an importer may need it to arrange shipping paperwork, and a customer paying in advance needs something to pay against. A pro forma gives them the exact figures without creating a sale that hasn't happened yet.

Because nothing has been delivered, a pro forma usually isn't recorded as a receivable, and the buyer doesn't enter it as a bill in [accounts payable](https://learn.ynteractive.com/content/glossary/accounts-payable). Mixing it up with a real invoice causes double entries and confused payment runs. Label it clearly, and expect that prices or quantities may change before the final version, which should be the only one anyone pays as a bill.

## In a real lesson: Turn a Client Meeting into Action Items and a Follow-Up Email (Accounting Firms)

The [Summarize a Client Meeting lesson](https://learn.ynteractive.com/content/chatgpt-client-meeting-recap-accounting-firm) shows the moment just before a document like this is needed. During the Q3 review at Millbrook Accounting, a made-up firm, the client Grace Whitfield of Cedar Lane Landscaping asks whether monthly bookkeeping would make more sense. Maya replies, "I'll send you a quote for monthly and you can decide."

In the action items table, that becomes "Send Grace a quote for monthly bookkeeping," owner Maya, which you later fix to a due date of October 21. That document is a quote, an offer the client can accept or decline. The lesson does not go further than that.

If Grace accepted and wanted to prepay the first month, or needed an approval document for her own records, the firm might send a pro forma invoice next: the agreed price laid out like a bill, issued before the work begins. The real invoice would follow once the month's bookkeeping was done.

## Common confusions

### Pro forma invoice vs quote

A quote offers a price and invites a decision. A pro forma usually comes after agreement, or close to it, and shows the bill the buyer should expect. See [estimate, quote and bid](https://learn.ynteractive.com/content/glossary/estimate-vs-quote) for the offer side.

### Pro forma invoice vs pro forma statements

Pro forma financial statements are projections, such as a forecast profit and loss. They share the Latin phrase, meaning roughly "as a matter of form," but they are a different thing.

## Tips

- Put the words PRO FORMA in the title so nobody files it as a bill.
- Give it its own number series, separate from real invoices.
- When the final invoice goes out, reference the pro forma number so the two can be matched.

## Frequently asked questions

**Is a pro forma invoice legally binding?**

It generally isn't treated as a final bill, but whether a document binds anyone depends on its wording and what the parties agreed. Ask a lawyer if a deal depends on it.

**Can AI draft a pro forma invoice?**

It can lay out the items and wording from your notes, but prices, quantities and terms must come from you or your system. Check every number before it goes out.
