Quick answer

A limitation of liability clause caps how much one side can owe the other if something goes wrong under the contract, often at a set amount or a few months of fees. It usually also rules out certain kinds of loss, such as lost profits.

## Why it matters for a small business

This clause decides who pays for a mistake. If a bookkeeping vendor's error costs you $40,000 and the cap is three months of fees, the most you can recover from them under the contract may be a fraction of that. The rest is your problem, or your insurer's.

Caps are standard and not automatically unfair; vendors could not price their services without them. What matters is whether the cap fits the risk. Check whether it applies to both sides equally, whether serious failures such as data breaches or confidentiality breaches are excluded from the cap, and how it fits with any indemnity.

The sample agreement in the free [Foxit contract review lesson](https://learn.ynteractive.com/content/review-a-client-contract-in-10-minutes-with-foxit-ai) limits what Northgate Bookkeeping Partners, a made-up vendor, owes Harborview to three months of fees. At $3,850 a month, that is $11,550, however large the error.

Foxit Workspace named the three-month cap in its plain-English summary, and the citation icon opened the sentence in the PDF. The cap then goes on the one-page Contract Watch List as a red flag to raise with the owner before signing.

## Common confusions

### Limitation of liability vs indemnification

A cap limits how much one side owes. An [indemnification clause](https://learn.ynteractive.com/content/glossary/indemnification-clause) says who covers certain claims, often claims from third parties. Many contracts let indemnity sit outside the cap.

### Contract cap vs insurance policy limit

The contract cap limits what the other side owes you. A [policy limit](https://learn.ynteractive.com/content/glossary/policy-limit) is the most an insurer will pay under your own policy.

## Tips

- Turn the cap into a dollar figure and compare it with the worst realistic mistake.
- Check whether the cap is mutual or only protects the vendor.
- Ask your insurance broker how the cap affects your coverage.

## Frequently asked questions

**Is a three-month liability cap normal?**

Caps tied to a period of fees are common in service contracts. Whether three months is enough depends on what the vendor could get wrong, so weigh it against the risk and ask a lawyer for large contracts.

**Can AI find the liability cap in a contract?**

Yes, usually quickly. Ask for the limitation of liability terms with the section number and check the cited sentence, because exclusions are often in the next sentence.

**Can I negotiate a limitation of liability clause?**

Often. Common asks are a higher cap, a mutual cap, or excluding data and confidentiality breaches from it.
